1. Parties

Hereinafter, Minbar.ai shall be referred to as the “Platform” and [Expert Name] shall be referred to as the “Expert”. Collectively, they shall be referred to as the “Parties”.

2. Scope of Partnership

This Agreement establishes a Preferred Partner relationship between the Parties for the purpose of connecting the Expert with speaking, advisory, and training engagements across the Gulf region.

3. Territory

This Agreement covers engagements within the Gulf Cooperation Council (GCC) member states:

Engagements outside the GCC territory may be facilitated on a case-by-case basis by mutual agreement.

4. Fee Structure

The following fee structure applies under the Preferred Partner tier:

The Expert’s current tier is highlighted above. Commission is calculated on the gross engagement fee before expenses.

5. Fee Protection

5.2 All client negotiations conducted by Minbar.ai on behalf of the Expert shall maintain the Expert’s minimum fee as a baseline. Any proposed deviation must be communicated to the Expert in writing and requires explicit approval before confirmation.

5.3 Minbar.ai’s commission is added on top of the Expert’s fee and billed to the client. The Expert receives their full stated rate in all cases.

7. Intellectual Property

7.1 The Expert retains all intellectual property rights in their content, presentations, methodologies, frameworks, publications, and any original materials created before or during the term of this Agreement.

7.2 The Expert grants Minbar.ai a non-exclusive, royalty-free, limited license to use the Expert’s name, likeness, biography, headshot, and promotional materials solely for marketing and profile listing purposes on the Minbar.ai platform and related marketing channels.

7.3 This marketing license may be revoked by the Expert upon 30 days’ written notice, or automatically upon termination of this Agreement.

8. Confidentiality

8.1 Both Parties agree to maintain strict confidentiality of all proprietary and sensitive information disclosed during the term of this Agreement, including but not limited to: fee structures, client lists, engagement terms, strategic plans, and business processes.

8.2 Confidential information shall not be disclosed to any third party without the prior written consent of the disclosing Party, except as required by law or regulation.

8.3 This confidentiality obligation shall survive termination of this Agreement for a period of two (2) years.

9. Non-Compete & Exclusivity

9.1 This Agreement is non-exclusive. The Expert is free to accept engagements in the GCC region through other channels or directly.

9.2 Regardless of tier, the Expert agrees not to solicit Minbar.ai’s proprietary clients introduced through the Platform for a period of twelve (12) months after the last engagement facilitated by Minbar.ai with that client.

9.3 Minbar.ai agrees not to represent the Expert’s work or endorse competing experts for the same engagement without the Expert’s knowledge and consent.

10. Duration & Termination

10.1 This Agreement is effective for a period of twelve (12) months from the Effective Date.

10.2 The Agreement shall automatically renew for successive twelve (12) month periods unless either Party provides written notice of non-renewal at least sixty (60) days prior to the expiration of the then-current term.

10.3 Either Party may terminate this Agreement immediately upon written notice if the other Party:

• Commits a material breach that remains uncured for fifteen (15) days after written notice
• Becomes insolvent, files for bankruptcy, or enters into liquidation
• Engages in conduct that brings the other Party into disrepute
• Violates applicable laws or regulations in the GCC territory

10.4 Upon termination, all confirmed and contracted engagements shall be honored. Commissions for confirmed engagements remain payable regardless of termination.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Dubai International Financial Centre (DIFC), Dubai, United Arab Emirates. The Parties submit to the exclusive jurisdiction of the DIFC Courts for any legal proceedings arising from or related to this Agreement.

12. Dispute Resolution

12.1 The Parties shall first attempt to resolve any dispute arising out of or in connection with this Agreement through good-faith negotiation within thirty (30) days of written notice of the dispute.

12.2 If negotiation fails, the dispute shall be referred to and finally resolved by arbitration administered by the DIFC-LCIA Arbitration Centre in accordance with its rules. The arbitration shall be conducted in English by a single arbitrator in Dubai.

12.3 The decision of the arbitrator shall be final and binding on both Parties and enforceable in any court of competent jurisdiction.
